DECREE

of the President of the Republic  of Azerbaijan on the establishment of the

Azerbaijan National Academy of Sciences (ANAS) High Technologies Park

Guided by paragraph 32 of Article 109 of the Constitution of the Republic of Azerbaijan with regard to the provision of state support for the sustainable development and competitiveness of the economy, the expansion of branches of innovation and high technologies on the basis of scientific researches and technological achievements, creation of modern complexes for research and development of new technologies, I, hereby, resolve as follows:

1. The Azerbaijan National Academy of Sciences (ANAS) High Technologies Park shall be established (hereinafter - "Hi-Tech Park").
2. Hi-Tech Park shall be designated as an area having in possession the necessary infrastructure, material and technical base and administrative bodies for carrying out research activities and development work, application (commercialization) of their results in industrial, service and other areas with the purpose to develop, produce or improve innovative products and high technologies.
3. The National Academy of Sciences of Azerbaijan shall carry out the functions of an authorized agency in relation to Hi-Tech Park.
4. The National Academy of Sciences of Azerbaijan shall take the necessary measures to ensure the creation of foreign and domestic infrastructure within the Hi-Tech Park and other services for the effective implementation of entrepreneurial activity.
5. "ANAS High Technologies Park" Limited Liability Company under the Azerbaijan National Academy of Sciences shall be established to organize and manage the activity of Hi-Tech 6.Park.
6. The following state organization and body shall be empowered to exercise authorities of the General Meeting in "ANAS High Technologies Park" Limited Liability Company (hereinafter - the Company):
6.1. The Azerbaijan National Academy of Sciences shall:
6.1.1 Determine trends of  development  of the Company;
6.1.2 Elect the Supervisory Board of the Company;
6.1.3 Determine the structure of the Company, the number of employees, the wage system and approve the cost estimate;
6.1.4 Establish the (collegiate or self-governing) executive body of the Company, define and prematurely terminate its powers;
6.1.5 Appoint and dismiss the head of the executive body of the Company, his deputies, representations and branches, and also heads of affiliated companies;
6.1.6 Approve annual reports, accounting balances, profit and loss accounts, distribute  profits and losses of the Company;
6.1.7 Take a decision on the conclusion of an agreement (specific transaction) of more than twenty-five per cent of the value of the net assets of the Company, as well as on the conclusion of a transaction, which constitutes five per cent and more of the Company's assets with the person concerned, according to the opinion of an independent auditor;
6.2 On the basis of proposals of the Azerbaijan National Academy of Sciences, the State Committee on Property Issues of the Republic of Azerbaijan shall:
6.2.1 approve the Charter and structure of the Company, determine the charter capital;
6.2.2 issue a permit to establish or liquidate offices, agencies and branches and to establish, reorganize or liquidate  affiliated companies;
6.2.3 address other issues referred to the competence of the general meeting by the Civil Code of the Republic of Azerbaijan with the exception of those mentioned in the Decree.
Reorganization and liquidation of the Company shall be carried out by the President of the Republic of Azerbaijan.
Cabinet of Ministers of the Republic of Azerbaijan shall:
8.1 prepare and submit to the President of the Republic of Azerbaijan proposals on bringing of acts of the President of the Republic of Azerbaijan to conformity with this Decree within two months;
8.2 provide compliance of the normative legal acts of the Cabinet of Ministers of the Republic of Azerbaijan with this Decree and report the President of the Republic of Azerbaijan within three months;
8.3 keep control over compliance of normative-legal acts of the central executive bodies to this Decree and report the President of the Republic of Azerbaijan within three months;
8.4 put  at the disposal of the Company a land plot  of the Azerbaijan National Academy of Sciences’ pilot plant located on 622-nd Street, Ahmadli settlement, Khatai district with the right to lease  for two months for the operation of Hi-Tech Park and report the President of the Republic of Azerbaijan;
8.5 ensure the necessary financing of the performance of the works provided for in Part 4 of this Decree, as well as the financing of the Company's charter capital and maintenance costs at the initial stage on account of the state budget;
8.6 take measures with the purpose of carrying out scientific research and experimental-design works on the activity profile of Hi -Tech Park  for the organization, coordination and expansion of cooperation between local and foreign research and higher educational institutions in the field of science,  technologies and innovation in collaboration with the Ministry of Economy and Ministry of Education  of the Republic of Azerbaijan and the National Academy of Sciences within six months, and report the President of the Republic of Azerbaijan;
8.7 Hi-Tech Park shall make joint efforts with the Ministry of Economy of the Republic of Azerbaijan and the National Academy of Sciences of Azerbaijan to implement innovative projects in the line of Hi-Tech Park development, test and study and prepare prototypes, coordinate commercialization of science with the international cooperation and grant programs, including involvement of potential donors, and report the President of the Republic of Azerbaijan;
8.8 prepare and submit to the President of the Republic of Azerbaijan proposals for the mechanism of state order for products manufactured in Hi-Tech Park within six months;
8.9 resolve other issues arising from this Decree.
9.The Ministry of Taxes of the Republic of Azerbaijan and the State Committee for Property Issues of the Republic of Azerbaijan shall take measures for the state registration of the Company.
